Terms of Use - PriceZag
Read the terms governing PriceZag accounts, subscriptions, competitor monitoring, automatic repricing, integrations and use of our services.
Last updated: October 14, 2026.
These Terms of Use ("Terms") form a binding agreement between you and PriceZag ("PriceZag", "we", "us" or "our") regarding your access to and use of pricezag.com, customer accounts, software, data, APIs and related services (collectively, the "Services"). Please read them before registering or using the Services.
PriceZag is designed for ecommerce store owners, businesses and professionals, and is not intended for personal, household or consumer use. You must be at least 18 years old to register. By creating an account or using the Services, you confirm that you are acting for business or professional purposes and, where applicable, have authority to act for the organization you represent.
1. Acceptance and scope
By registering an account, accepting these Terms in an account or purchasing process, or otherwise accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, you must not use the Services. Account registration and certain account changes require express acceptance of the applicable Terms.
Additional conditions displayed for a particular plan, feature or transaction form part of your agreement for that purchase or use. If you and PriceZag have entered into a separately signed written agreement, its express provisions prevail over conflicting provisions of these Terms.
2. The Services
PriceZag provides tools for monitoring information from ecommerce websites, organizing product and competitor data, generating reports and notifications, applying pricing rules, and connecting with stores and other systems. Features and availability depend on your account, selected plan and configuration.
We may improve, modify, replace, restrict or discontinue features, technical interfaces or parts of the Services, and may apply reasonable technical or operational limits, including to requests, monitored URLs, data processing and integrations. Material changes to an existing paid subscription will be handled in accordance with applicable law and the relevant subscription terms. Nothing in our descriptions, examples or documentation constitutes a promise that a particular result will be achieved.
3. Accounts and authorized users
You must provide accurate information when registering and keep your account details reasonably current. You are responsible for safeguarding login credentials, securing connected systems, assigning appropriate permissions, and promptly notifying us if you suspect unauthorized access.
An account may have multiple authorized users. The account holder is responsible for activities performed through the account and by its authorized users, including changes to settings, product data, pricing rules, store integrations, API operations and purchases, whether or not the account holder personally approved each action. You are responsible for supervising the people and systems you authorize to act on your behalf.
We may require reasonable eligibility or account verification, refuse registration, or restrict accounts that do not meet the intended use of the Services or our operational requirements.
4. Free plans, trials and promotions
We may offer free accounts, trial periods, discounts or other promotions, subject to the eligibility requirements, features and limits displayed with the offer. We may change or discontinue such offers and take measures to prevent misuse or repeated attempts to evade their restrictions.
Creating a free account or starting a free trial does not, by itself, authorize a paid subscription. Charges begin only when you expressly select and authorize a paid service or other purchase. Free offerings may have reduced functionality, limited availability or different usage restrictions, and carry no guaranteed service level.
5. Prices, payments and automatic renewal
Paid subscriptions are billed in advance and renew automatically unless canceled under the applicable cancellation procedure. The price, billing currency, interval and any separately selected charges are shown before you authorize a purchase. Monthly subscriptions ordinarily renew on the corresponding billing date, adjusted where a month has fewer days.
A subscription continues to renew and incur charges until it is canceled, even if you stop logging in, no longer view reports, stop using an integration or otherwise make no active use of the Services. Monitoring and account resources may continue to be provided during that period. You are responsible for reviewing your subscriptions and charges. Invoices and payment records are available through your account; we do not undertake to send a separate invoice, reminder or notice of every recurring charge except where required by law.
We use a third-party payment processor to handle payment-card transactions. You authorize recurring charges to your selected payment method for the subscriptions you purchase, together with any additional transactions you separately approve. You are responsible for maintaining a valid payment method and for any charges imposed by your bank or card issuer. Prices are presented in the indicated currency; any applicable taxes included in the displayed price are handled as shown at purchase, subject to mandatory law.
Other optional tools or services may carry separate fees or usage-based charges. Their prices and payment conditions will be presented before you expressly authorize the transaction. We may introduce, modify or discontinue such offerings without changing these Terms.
6. Plan changes, annual commitments and price adjustments
Upgrades may take effect immediately, with a charge reflecting the new plan and any applicable credit for unused time already paid. Downgrades ordinarily take effect on the next billing date and may require you to reduce usage to fit the new plan; if you do not meet the new plan's limits, the downgrade may not be completed. The applicable amounts and effective dates are displayed when you confirm a change.
Annual subscriptions are prepaid commitments for the agreed term, generally offered at a discounted price. They cannot be canceled early for a refund of the remaining period, except as required by applicable law or expressly provided in a separate written agreement. At the end of an annual commitment, service ordinarily continues as an automatically renewing monthly subscription at the applicable monthly rate, unless you cancel or the specific agreement states otherwise.
We may revise subscription prices. For an existing paid subscription, we will provide at least 30 days' advance notice of a price increase, unless a different period is required by law or an individually agreed contract. A previously available price need not be preserved if a subscription ends or is reactivated following cancellation or payment failure.
7. Cancellation, refunds and payment failures
You may cancel renewal of a subscription using the cancellation feature in your account. Unless otherwise stated for a specific purchase, cancellation stops future renewals and paid access continues until the end of the current paid period. Cancellation does not retroactively cancel charges already incurred. Subscription fees for a current or completed billing period, including periods of nonuse, are nonrefundable to the fullest extent permitted by law.
When a payment cannot be collected, we may retry it and suspend, restrict or discontinue paid features without guaranteeing any particular grace period. Monitoring, reporting, integrations and automated updates may stop during a suspension. We are not responsible for consequences of interruptions resulting from payment failure.
If we offer an account balance funded by advance payments, unused prepaid funds may be refunded on request, less applicable payment-processing and refund fees to the extent permitted by law. Such funds are distinct from subscription fees already charged for a service period. Any refund, credit or accommodation we voluntarily provide in a particular case does not create an obligation to provide it in other cases.
8. Accuracy, timing and availability of information
We work to make the information provided by PriceZag useful and accurate. However, information obtained from third-party websites, entered by users or generated by software may be incorrect, incomplete, outdated, delayed, inconsistent or unavailable. This includes prices, discounts, currencies, product matches, inventory, availability, historical records, calculated statistics and estimated sales.
External websites can change their content, pricing, accessibility and technical behavior without notice. A successful visit does not establish that all information was correctly interpreted, and a screenshot reflects only what was observed during a particular visit. Screenshots and other supporting records are provided when available, but their successful capture, processing and availability are not guaranteed. Calculations and estimates are not independently verified facts. Monitoring intervals, update frequencies, response times and other published performance descriptions are targets, not guaranteed deadlines or service levels, unless expressly agreed otherwise in writing.
You must independently verify information that matters to a commercial decision. PriceZag is a tool to assist your work, not a substitute for your own checks, judgment or supervision. You accept the risk that relying on inaccurate, delayed or missing information may affect your business.
9. Automatic repricing and business decisions
PriceZag may calculate suggested selling prices and, when you enable an appropriate integration or automation, send price changes directly to your store or another system without obtaining separate approval for each change. By enabling such functions, you authorize the actions resulting from the rules, data and configuration associated with your account.
You are solely responsible for deciding whether and how to use automated repricing, selecting products and competitors, configuring rules, entering accurate costs and other inputs, setting appropriate minimum prices and safety limits, testing integrations, and reviewing the resulting prices and transactions. We strongly recommend using appropriate cost-based minimums, checking your settings before enabling automation, and reviewing the results regularly.
Although the Services may include safeguards intended to reduce unintended results, no safeguard is guaranteed to prevent every incorrect calculation, update or selling price. Errors may arise from third-party information, software, configuration, currency conversion, product matching, integration behavior or other causes, including errors in PriceZag's systems.
To the fullest extent permitted by law, PriceZag is not responsible for commercial decisions or their financial consequences, including incorrectly adjusted selling prices, sales made at unintended prices, insufficient margins, lost profits, missed sales, customer disputes, refunds or other losses resulting from reliance on the Services or operation of automated functions. You are responsible for monitoring and controlling the effects of automation on your business, including when it operates without your immediate attention.
10. Integrations, APIs and notifications
You are responsible for authorizing and configuring connections to stores, applications and external destinations; securing credentials; ensuring that the information and permissions you provide are appropriate; and verifying any actions taken by connected systems. PriceZag is not responsible for the availability, operation, terms, errors or conduct of third-party websites, payment providers, store platforms, networks or customer-developed software.
API responses, exports, web requests, email and SMS alerts, scheduled reports and other notifications may be delayed, filtered, rejected, incomplete or undelivered. Delivery and receipt are not guaranteed. You must not rely on any notification or integration as your only means of detecting events or preventing financial loss. Information sent to an address or external destination you specify is sent at your direction and risk.
You agree to promptly report suspected errors or failures through a support ticket and to take reasonable steps to limit any resulting loss. We may investigate and attempt to correct problems, but do not guarantee a particular resolution or timetable.
11. Third-party websites and lawful use
You choose the products, pages, domains and other resources you ask PriceZag to monitor or interact with. You are responsible for ensuring that your intended use of the Services, including any instructions you provide and any resulting use of external information, complies with applicable laws and respects the rights of third parties.
We do not control external websites, their content or their access requirements. We may decline, limit, pause or discontinue monitoring particular resources for technical, legal, security or operational reasons. Access to any particular website or continued collection of any particular information is not guaranteed.
12. Acceptable use and prohibited activities
You must use the Services responsibly, in accordance with these Terms and applicable law. Without our prior written authorization, you must not:
- Attack, disrupt, overload or attempt unauthorized access to the Services, other accounts, networks or systems, or circumvent security controls or access restrictions.
- Evade plan limits, usage quotas, rate limits or other safeguards; manipulate account activity or data in ways designed to obtain substantially more service than your plan permits; or use automation in a manner inconsistent with ordinary operation of the Services.
- Resell, sublicense, transfer or provide access to your PriceZag account or the Services as a service for unrelated third parties, or use PriceZag as an undisclosed intermediary for a competing monitoring service.
- Copy, reverse engineer, decompile, systematically analyze or attempt to recreate our software, interfaces, methods or proprietary technology, except to the extent a restriction is prohibited by applicable law.
- Use the Services to develop, benchmark or improve a competing product through unauthorized systematic extraction, testing or inspection.
- Upload harmful code, infringe the rights of others, use another person's account without authorization, or otherwise use the Services unlawfully or fraudulently.
We may apply automated protections, including temporary or extended restrictions, when activity appears excessive, unsafe or abusive. Such restrictions may affect access or processing even when the activity was unintentional. We may investigate suspected violations and take appropriate action.
13. Customer information, results and intellectual property
You retain the rights you have in content and information you provide. You grant PriceZag the rights reasonably necessary to receive, store, process, reproduce and transmit that information to provide, maintain and support the Services and carry out your instructions, subject to our Privacy Policy.
You may use reports, exports, collected observations and API results for legitimate operations of your own business, including internal analysis, pricing decisions and displaying selected price comparisons to your customers. You are responsible for the accuracy and legality of any claims you publish. You must not systematically redistribute, license or sell PriceZag's collected data as a standalone data product or operate a substitute for PriceZag's monitoring service without our written permission.
PriceZag retains all rights in its software, website, designs, documentation, databases, technology and proprietary materials. Publicly available market information and non-identifying aggregated statistics may be collected, retained, analyzed and used independently of any particular customer account, without disclosing confidential customer information or identifying customers.
14. Suspension, termination and data
We may refuse, suspend, restrict or terminate access, with or without advance notice where appropriate, for breach of these Terms, misuse, security concerns, payment failure, legal requirements, eligibility issues or other legitimate operational or business reasons. We may also discontinue offerings or restrict availability in particular locations.
If we end an otherwise compliant paid subscription for our own convenience, we may provide a proportionate credit or refund for unused prepaid service when appropriate or required by law. Termination for misuse or breach does not entitle you to a refund except where required by law.
Canceling paid service does not automatically delete your account or its history. You may request permanent account deletion through a support ticket. Our handling and retention of information, including legally required records and backups, is described in our Privacy Policy. You should export anything you wish to keep before access ends; we do not guarantee indefinite availability or recovery of account data.
15. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL CONTENT, DATA, CALCULATIONS, REPORTS, RECOMMENDATIONS AND AUTOMATED FUNCTIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. PRICEZAG DISCLAIMS, TO THE EXTENT PERMITTED BY LAW, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, UNINTERRUPTED AVAILABILITY AND ERROR-FREE OPERATION.
We do not guarantee that monitoring will succeed on any particular website, that information or notifications will arrive at a particular time, that automated actions will produce a desired result, or that defects will always be detected or corrected. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRICEZAG AND ITS OWNERS, OFFICERS, PERSONNEL, CONTRACTORS AND AFFILIATES WILL NOT BE LIABLE FOR LOST PROFITS, REVENUE, SALES, BUSINESS, OPPORTUNITIES, GOODWILL OR DATA; INCORRECT SELLING PRICES OR MARGINS; UNINTENDED SALES OR COMMERCIAL TRANSACTIONS; OR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, WHETHER SUCH LOSSES ARE DESCRIBED AS DIRECT OR INDIRECT AND EVEN IF THE POSSIBILITY OF LOSS WAS KNOWN OR FORESEEABLE.
These exclusions apply, to the extent permitted by law, to losses arising from inaccurate or unavailable information, monitoring delays or failures, incorrect product matches, calculations, repricing decisions or store updates, integration or API activity, missed notifications, interruptions, data loss and other use of or inability to use the Services, regardless of the legal theory asserted, including contract, tort or negligence.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRICEZAG'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) US $100 OR (B) THE FEES ATTRIBUTABLE TO THE AFFECTED SERVICES FOR THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. For annually prepaid services, fees are allocated proportionately across the prepaid term for this calculation. This is a single cumulative limit for all related claims, not a separate limit per incident or claimant.
These limitations form an essential part of the basis on which PriceZag offers the Services. They do not apply to the extent that applicable law prohibits the exclusion or limitation of a particular liability, including liability that cannot lawfully be excluded for fraud, willful misconduct or other non-waivable rights.
17. Indemnification
To the extent permitted by law, you agree to defend, indemnify and hold harmless PriceZag and its owners, officers, personnel, contractors and affiliates against third-party claims, losses, liabilities, damages and reasonable legal expenses arising from your breach of these Terms, unlawful or unauthorized use of the Services, infringement of third-party rights, misuse of collected information, or products, prices or other actions published or carried out through your business at your direction. This obligation does not apply to the extent a claim is caused by PriceZag's conduct for which indemnification would be prohibited by law.
We will provide reasonable notice of a claim and an opportunity to participate in its defense, subject to applicable law. You may not agree to a settlement that imposes obligations on PriceZag without our written consent.
18. Disputes, arbitration and governing law
Before starting formal proceedings, you and PriceZag agree to give the other party written notice of the dispute and attempt in good faith to resolve it informally for at least 30 days. You may send your notice by email using our contact page; we may contact you using the contact details associated with your account.
To the extent permitted by law, disputes arising out of or relating to these Terms or the Services that cannot be resolved informally will be decided by binding individual arbitration under the Federal Arbitration Act, administered by the American Arbitration Association under its applicable commercial arbitration rules. Proceedings will be conducted remotely by video or telephone where permitted. If an in-person proceeding is required, its location will be Los Angeles County, California, unless mandatory law requires otherwise. Each party may participate remotely to the extent allowed by the applicable rules and decision-maker.
TO THE EXTENT PERMITTED BY LAW, BOTH PARTIES WAIVE THE RIGHT TO BRING OR PARTICIPATE IN A CLASS, COLLECTIVE OR REPRESENTATIVE ACTION. Claims must be pursued individually, and an arbitrator may not combine different parties' claims without their consent, except where mandatory law provides otherwise. Either party may bring an eligible individual claim in small-claims court, and PriceZag may seek appropriate court relief concerning intellectual property, unauthorized access or misuse of its systems.
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law rules, except where mandatory law provides otherwise. Any dispute that must be heard in court rather than arbitration will be brought exclusively in the state or federal courts located in Los Angeles County, California, subject to non-waivable jurisdictional rights. Nothing here guarantees that a court or arbitrator will permit remote participation in every circumstance.
19. Changes to these Terms
We may update these Terms to reflect changes to the Services, business practices or legal requirements. The current version will be published on this page with its updated date. We will provide additional notice or obtain renewed acceptance where required by applicable law. Your continued use after changes become effective constitutes acceptance where the law permits; otherwise, the applicable consent requirements will govern.
20. Language and interpretation
English is the official and controlling language of these Terms. Translations are provided for convenience only. If a translation differs from the English version, the English version prevails to the extent permitted by applicable law. By accepting these Terms, you confirm that you have sufficient understanding of English to understand this agreement and the Services, whose account interface and documentation may be in English.
If any provision is held invalid or unenforceable, it will be limited or severed to the extent necessary without affecting the remaining provisions. Our failure to enforce a provision does not waive our right to enforce it later. You may not transfer your account or rights under these Terms without our consent; PriceZag may assign its rights and obligations in connection with a legitimate business transfer, subject to applicable law. These Terms, the Privacy Policy and any applicable purchase terms or separately signed agreement constitute the agreement governing the Services. Provisions that by their nature should survive termination, including payment obligations, intellectual property rights, disclaimers, limitations of liability, indemnification and dispute resolution, will survive.
21. Contact
For questions about these Terms, please email PriceZag through our contact page. For issues involving an existing account, use the support-ticket system when possible.
